Proposal — not yet law

An EU Inc. would need no minimum capital, would run every step online and would carry the same company rules in every Member State. A GmbH, SRL, SAS or BV follows its own country's capital, notary and route. Only the four exist today; the EU Inc. lines below come from the proposal.

Recognition

EU Inc.: registered in one country, legal personality recognised by all Member States (Article 3). A GmbH, SRL, SAS or BV is a company of its country, and its legal personality rests on that country's law. An EU Inc. would carry one set of company rules into any Member State; a branch in another country is still registered there, with a shorter filing drawn from the registers' interconnection (Article 38).

What is the same

Tax, employment law, social security and accounting are not in the regulation. Under Article 4 they follow the national law of the Member State of the registered office, and Article 105 says so for accounting outright. An EU Inc. in Germany would follow German law for all of that.

Time and fee

EU Inc.: 48 hours and at most 100 euro on the EU-template route (Article 16); five working days with own articles (Article 17). The national fees: the ranking by state fee.
